Welcome to HealOvi. These Terms of Use govern your access to and use of the websites, mobile experiences, intake forms, account portals, communications, content, products, and services offered by HealOvi, including any HealOvi-affiliated sub-brands such as Brovi, Shovi, FitOvi, and other programs or brands we may operate from time to time. By accessing or using the Services, creating an account, submitting information, purchasing a product or service, or communicating with us, you agree to these Terms. If you do not agree, you should not use the Services.

1. What HealOvi Does

HealOvi is a companion health platform designed to help individuals access health education, digital health tools, telehealth-related services, care coordination, wellness support, prescription-related services when clinically appropriate, and other health-related offerings. HealOvi may host or support sub-brands, including but not limited to Brovi, Shovi, and FitOvi. Each sub-brand may have additional service-specific disclosures, treatment information, eligibility criteria, and consent requirements.

2. HealOvi Is Not an Emergency Service

HealOvi is not for medical emergencies. Do not use HealOvi if you are experiencing a medical emergency, life-threatening symptoms, severe allergic reaction, chest pain, trouble breathing, suicidal thoughts, severe abdominal pain, stroke-like symptoms, uncontrolled bleeding, loss of consciousness, or any other urgent medical condition. Call 911 or go to the nearest emergency room immediately.

3. Platform Role and Medical Provider Role

HealOvi may provide technology, administrative support, education, scheduling, care navigation, payment processing, communications tools, and related services. HealOvi itself does not practice medicine, diagnose medical conditions, prescribe medications, or make clinical decisions unless expressly stated through a licensed medical entity. Medical services, when available, are provided by licensed healthcare professionals or medical groups that are separate from HealOvi. A provider-patient relationship may be formed only when a licensed healthcare professional reviews your information and agrees to provide care under applicable law.

4. Independent Clinical Judgment

Healthcare providers using or affiliated with the Services are solely responsible for clinical decisions, including whether telehealth is appropriate, whether additional information is needed, whether an in-person visit is required, whether testing is needed, whether a prescription is clinically appropriate, and whether treatment should be changed or discontinued. HealOvi does not guarantee that you will receive a prescription, medication, diagnosis, treatment recommendation, lab order, referral, or specific outcome.

5. Telehealth Is Not Appropriate for Every Condition

Telehealth may be convenient and effective for certain types of care, but it is not appropriate for all medical conditions or all patients. A provider may determine that your condition requires in-person evaluation, physical examination, laboratory testing, imaging, urgent care, specialist care, or emergency care. You agree to provide truthful, accurate, complete, and current information.

6. Eligibility

You may use the Services only if you are at least 18 years old or the age of majority in your state, whichever is older, unless a specific service expressly permits use by minors with appropriate parent or guardian consent. You must be located in a state where the relevant Service is available at the time of your visit. Certain services, medications, treatments, and care pathways may not be available in all states.

7. State Availability

HealOvi services may not be available in all states. Availability depends on provider licensure, pharmacy rules, treatment type, medication availability, telehealth laws, prescribing laws, laboratory availability, shipping limitations, and other regulatory requirements. You may only use HealOvi telehealth services when you are physically located in a state where the service is available and where the provider is authorized to treat you. If your location changes, you are responsible for updating HealOvi and your provider.

8. Subscriptions, Cancellation and Refund Policy

Some services may be offered as recurring subscriptions, memberships, care plans, or medication plans. The price, billing frequency, included services, and renewal terms will be shown before checkout. By enrolling in a recurring service, you authorize HealOvi or its payment processor to charge your payment method at the disclosed renewal interval until you cancel. Cancellation must be submitted before the applicable renewal or processing deadline. Fees for completed consultations, provider reviews, pharmacy processing, medications, lab orders, digital services, and shipped products may be non-refundable unless required by law or expressly stated otherwise. If a provider determines that treatment is not clinically appropriate, HealOvi may provide a refund or partial refund according to the checkout terms for that service.

9. Financial Responsibility

Unless expressly stated otherwise, HealOvi services are cash-pay services. You are responsible for all disclosed fees, including consultation fees, subscriptions, medication costs, labs, shipping, and other charges. HealOvi does not guarantee insurance reimbursement and does not guarantee that any service, product, medication, or lab will be covered by insurance. You are responsible for keeping your payment information current. Failed payments may delay, pause, or cancel services, refills, shipments, or account access.

10. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, keeping your account information accurate and current, notifying us promptly of any unauthorized access, and using the Services only for lawful, personal, non-commercial purposes. You may not share your account, impersonate another person, or use the Services on behalf of another person without authorization.

11. Medical Disclaimer

Content on HealOvi websites, blogs, emails, social media, educational pages, quizzes, calculators, and tools is for general informational and educational purposes only. It is not medical advice, diagnosis, treatment, or a substitute for professional medical judgment. You should talk to a qualified healthcare professional before starting, stopping, or changing any medication, supplement, diet, exercise plan, hormone therapy, fertility plan, weight-loss treatment, sexual health treatment, or wellness program. HealOvi does not guarantee weight loss, symptom improvement, fertility outcomes, hormone optimization, sexual performance, hair growth, longevity benefits, fitness outcomes, lab improvement, or any other specific result.

12. Intellectual Property

All content, features, and functionality on the Services, including text, graphics, logos, images, and software, are owned by HealOvi or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Services without our express written permission.

13. Limitation of Liability

To the fullest extent permitted by law, HealOvi and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Services. HealOvi's total liability for any claims arising under these Terms shall not exceed the greater of (a) the amounts paid by you to HealOvi in the 12 months before the claim or (b) $100.

14. Governing Law and Dispute Resolution
